How to Register Your Company Through the New CAC e-Registration Portal for Businesses and Individuals

 

Now that the Corporate Affairs Commission has opened a new e-registration platform, both individuals and businesses can complete the entire company registration process online (CAC).
The Companies and Allied Matters Act, or CAMA 2020, which President Muhammadu Buhari signed into law in August 2020, has led to an overhaul of the electronic registration system for businesses in Nigeria.

Here’s a step-by-step guide on how to register your company online using the new CAC e-registration portal.




1. Register for an account using the online registration portal

Before you can register your business with CAC, you must first create an account.

Create an account here, then log in. Visit the official CAC website and sign up for an account to start the company registration procedure.


2. Find a company name that is available

You must first register a distinctive name that is associated with your brand and has not yet been assigned to another business before you can register your firm. Select "Search Now" from the Public Search section.


You'd need to look for a different name if the one you've proposed for your business is already taken. Go ahead to the following step, nevertheless, if name is available.

3. Save the name of the company

Here, you can save the name of your chosen business. Enter the necessary information, such as the proposed company name and goals, as well as your company kind, such as a private company limited by shares or a public corporation. Following the completion of N500 payment, make sure all required information is entered under each column.


Within 24 hours, the CAC must inform you of the status of your application. If your business name reservation is approved, you will receive a letter giving a code for the name's availability.

4. Register your business.

To continue registering your business, enter your firm name availability code in the box provided.

After the code has been validated, fill out the necessary fields on the Registration Form CAC 1.1. The sort of the primary business in which your company will be involved, the corporate email address, and the registered office address are among the information you must input for your company's specifics.
Enter personal information (name, date of birth, gender, phone number, form of identification, and the number of shares to be held) for information on the company's directors and shareholders.
Likewise, enter this information for the company secretary (individual or corporate body). To complete section E of the form, the statutory statement of compliance with the provisions of CAMA, you would need to hire a legal practitioner. The drafting of the Articles of Association may also require legal assistance.

Pay the required CAC registration charge (which varies by company type) after completing the form, plus stamp duty. Then, you must scan and upload the following PDF-formatted documents: the printout of the approval note, the registration form CAC 1.1, the receipt for the CAC payment, the identification of the directors and shareholders, the stamp duty certificate, the memorandum and articles of association, and the company secretary's Certificate of Incorporation (if applicable).

Your company's Certificate of Incorporation will be uploaded to your account dashboard where you can quickly download and print it after the registration is finished and approved by the CAC.
